2016 TERMS & CONDITIONS
UPDATE: THE COMPUTER SPECIALISTS, LLC, LLC has switched completely over to a membership based client structure. What this means is that those who pay member dues every year will have access to preferred appointments and preferred consulting rates that are not available to the public (non-members). In order for us to maintain the ability to consult with all of our clients, each membership position will have a limited number of seats. Once the seats are completely filled, there will be a wait-list for clients who wish to become members.
NON-MEMBERS: Consulting appointments and services will be available at our standard hourly consulting rate of $250 per hour. This rate will be available to non-members who pay a retainer fee of not less than $1,500; the retainer amount required may vary based on the project. All time spent on the project / problem will be tracked and billed against the retainer accordingly. Once the retainer limit has been reached, any overages will be the clients responsibility within 30 days. The retainer fee is for consulting services only but is not limited to: meetings with the client, review of file materials and documents sent or received, conferences, telephone calls, emails, texts, facsimiles, correspondence, investigation, troubleshooting and diagnostics, time spent preparing for the prior, time spent coordinating schedules with other vendors / suppliers, and any time spent on the phone in regards to the project. The client shall pay for the firms out-of-pocket expenses incurred in connection with this matter, such as technical support fees from vendors & suppliers, telephone calls, photocopying, documentation, mail delivery, messenger service, investigative expenses, software & hardware expenses, computerized research, and any and all other expenses which the firm deems reasonable and necessary to the project.
MEMBERS (MEMBERSHIP HOLDERS): Members, will receive all of the services and the rates outlined in the “Information Technology Service Plans” brochure by purchasing and agreeing to pay listed dues for a minimum of a 12 month period. Members will receive direct access to preferential calendars for consulting appointments. Consulting appointments will be available on a first come, first served basis. Remote support will also be available for limited activities such as diagnostics, training, consultation, demonstrations, monitoring, and regular programming changes.
PLAN C TERMS & CONDITIONS: Consulting appointments and services will be available at discounted hourly consulting rate of $55 per hour. All time spent on the project / problem will be tracked and billed at the membership rate accordingly. Once the appointment limit has been reached, additional consultation will be billed at a rate of $100 per hour. This membership plan is for consulting services only but is not limited to: meetings with the client, review of file materials and documents sent or received, conferences, telephone calls, emails, texts, facsimiles, correspondence, investigation, troubleshooting and diagnostics, time spent preparing for the prior, time spent coordinating schedules with other vendors / suppliers, and any time spent on the phone in regards to the project. GENERAL TERMS AND CONDITIONS: If the firm ceases its relationship with a member or non-member it shall promptly return to the client all papers, documents and tangible materials which the client provided to the firm, if requested in writing by the client. The client is not entitled to items such as investigative, expert reports, or system information unless the client has paid all amounts due to the Firm.
It is understood by the client that the firm has made no promise or guarantees of any kind or nature as to the outcome of the firms services for the project, except that it has promised to represent the client to the best of its professional ability and with diligence.
If the client and the firm have a disagreement regarding any aspect of the fee or expenses, they agree to make good faith effort to resolve that disagreement. If the dispute cannot be resolved by that method, the client and the Firm agree to mediation services.
Release of Liability:
CLIENT agrees to release and hold harmless THE COMPUTER SPECIALISTS, LLC from any and all liability associated with the performance of service or the provision of parts, and acknowledges also that THE COMPUTER SPECIALISTS, LLC offers no explicit or implied warranty or guarantee on services performed or parts provided, other than the manufacturer’s warranty. Further:
1. CLIENT acknowledges that due to the nature of the services being performed, there is potential risk of damage or loss including, but not limited to, damage to CLIENT's home, office, computer hardware, cabling, hubs, routers, switches, peripherals, accessories, and furniture, as well as potential risk of damage, corruption, or loss of computer software, applications, data, and data storage media.
2.CLIENT agrees to release and hold harmless THE COMPUTER SPECIALISTS, LLC from all liability for damage or loss as well as any incidental or consequential material or financial damage or loss that may result from the actions of THE COMPUTER SPECIALISTS, LLC.
3.CLIENT grants THE COMPUTER SPECIALISTS, LLC access and permission to physically disassemble any and all computer systems, components, networks, cabling, hubs, routers, switches, peripherals, and accessories.
4.CLIENT grants THE COMPUTER SPECIALISTS, LLC access, security rights, and permission to open, view, modify, edit, delete, or otherwise manipulate CLIENT's computer software, applications, data, and data storage media including, but not limited to, the computer Operating System, word processing, spreadsheets, databases, workflow, graphics, audio, video, system drivers and libraries, and any other type of software or data that may be contained on CLIENT's computer system or network.
5.CLIENT grants THE COMPUTER SPECIALISTS, LLC permission to physically access CLIENT's home or office property where CLIENT's computer system and/or network resides.
6.CLIENT grants THE COMPUTER SPECIALISTS, LLC permission to perform modification to CLIENT's home or office property for the purpose of installing or troubleshooting computer and/or networking hardware, cabling, hubs, routers, switches or peripherals. Modification may include such practices as drilling through or disassembling furniture, walls, floors, carpet or trim, laying and removing cabling and devices including affixing cabling and devices to furniture, walls, floors, or trim, using nails, screws, staples, hangers, or plastic ties.
7.CLIENT grants THE COMPUTER SPECIALISTS, LLC permission to download and/or install software on CLIENT's computer and/or network, including but not limited to, virus scanners, diagnosis and repair utilities, drivers, libraries, and software requested to be installed by CLIENT.
8.CLIENT grants THE COMPUTER SPECIALISTS, LLC permission to install hardware in CLIENT's computer and/or network, including but not limited to, memory chips, processor chips, cooling fans, batteries, hard drives, tape drives, storage devices, modem and communication devices, audio and video cards, network interface cards, hubs, routers, switches, printers, scanners, cables, and any other hardware requested to be installed by CLIENT.
9.THE COMPUTER SPECIALISTS, LLC strongly recommends that CLIENT safeguard critical data by backing up said data prior to any services performed by THE COMPUTER SPECIALISTS, LLC. CLIENT is responsible for any backup, archiving, or protective storage as well as restoration if required, of CLIENT's data.
THE COMPUTER SPECIALISTS, LLC is a provider of billable on-site, off-site, and remote services and does not offer or provide telephone technical support on-demand for CLIENT. Neither the signing of this agreement nor the performance of services by THE COMPUTER SPECIALISTS, LLC implies availability of telephone technical support or of future technical services. This document constitutes the entire agreement between CLIENT and THE COMPUTER SPECIALISTS, LLC. No other agreement, verbal or otherwise shall be in effect except if agreed to in writing and signed by both parties.
